Introduction

Flux DAO, LLC, a limited liability company based in Georgia (together with its affiliates, referred to as the “Company”), manages various websites, mobile applications, and interactive services, including but not limited to Flux DAO, LLC and Fluxxrpl.com (collectively, the “Flux DAO, LLC Platforms”). If you reside in the United States, these Terms of Use (“Terms”) govern your use of the Flux DAO, LLC Platforms and all features, browser extensions, emails, text (SMS) messages, online services, and other functionalities (collectively, the “Features”) associated with the Flux DAO, LLC Platforms, regardless of whether accessed via a computer, mobile device, or other devices (each referred to as a “Device”).

These Terms constitute a legal agreement between you and the Company. By using any of the Flux DAO, LLC Platforms or Features, or by clicking “Accept” or agreeing to these Terms when prompted, you consent to be bound by these Terms. If you disagree with any part of these Terms, please do not register for or use any Flux DAO, LLC Platforms or Features. You acknowledge that you have reviewed our standalone Privacy Policy and consent to the collection, use, and disclosure of your personal information as described therein.

Additional terms, official rules, agreements, or guidelines may apply to specific Flux DAO, LLC Platforms or Features, such as the MyGiftCardsPlus.com Terms of Sale and the Upromise Member Agreement (“Additional Terms”). When accessing any Flux DAO, LLC Platforms or Features subject to Additional Terms, all references to these Terms include the Additional Terms. In case of discrepancies between the Additional Terms and these Terms, these Terms will prevail unless explicitly stated otherwise. For any questions or concerns regarding these Terms or Additional Terms, please contact us as specified in Section 17 below.

Use of Flux DAO, LLC Platforms and Features

You agree to use the Flux DAO, LLC Platforms and Features solely for purposes permitted by these Terms and applicable laws, regulations, or accepted practices in relevant jurisdictions. The Company grants you a limited, revocable, non-transferable, personal, and non-exclusive license to access and use the Flux DAO, LLC Platforms and Features as specified herein. You may download materials displayed on the Flux DAO, LLC Platforms and Features for personal, non-commercial use only, provided that you do not remove any copyright or proprietary notices.

However, you may not distribute, modify, broadcast, publicly perform, transmit, reuse, repost, or use the content of the Flux DAO, LLC Platforms and Features, including any text, images, audio, or video, for public or commercial purposes without prior written consent from the Company.

All rights not expressly granted in this license remain with the Company. Your right to use the Flux DAO, LLC Platforms and Features is non-transferable, and you acquire no rights or licenses to the Flux DAO, LLC Platforms and their materials beyond the limited right to access and use them as specified in these Terms.

If you access the Flux DAO Platforms through third-party applications like Apple’s App Store or Google Play, you acknowledge that these Terms are solely between you and the Company, and that those third parties are not involved in these Terms or affiliated with the Flux DAO, LLC Platforms.

Permitted Users

Access to the Flux DAO, LLC Platforms and Features is restricted to individuals aged thirteen (13) and older (or the minimum age in your jurisdiction if higher). If you are under eighteen (18) (or the legal age in your jurisdiction), you confirm that you have obtained consent from your parent or legal guardian to access the Flux DAO, LLC Platforms and Features. If we learn that you are under the age of 13 (or the applicable minimum age), we will terminate your access to the Flux DAO, LLC Platforms and Features, deactivate your account, and delete your data. Certain offerings may also have additional age or parental consent requirements. By using the Flux DAO, LLC Platforms and Features, you confirm that you:

• Can form a binding contract with the Company.

• Are not subject to the prohibitions outlined in Excluded Users and Territories (Section 15).

• Will comply with these Terms (including any Additional Terms) and all relevant laws.

If you are a parent or legal guardian of a user under eighteen (18), you are responsible for your child’s use of the Flux DAO, LLC Platforms and Features.

Rewards Programs

A. Overview: The Company may provide one or more rewards programs (“Rewards Programs”) that allow you to earn tokens (referred to as “Flux Bucks” in the Fluxxrpl.com program and “Tokens” in the MyPoints.com program) or other credits (“Rewards”) through participation in various advertising, content, shopping opportunities, special offers, surveys, coupons, location-based deals, and other offers (“Offers”). Rewards have no cash or monetary value and are redeemable only for gift cards or prizes as determined by the Rewards Program.

B. Suspension or Termination of Participation: The Company may limit, suspend, or terminate your participation in a Rewards Program and may void any Rewards you have accumulated if you fail to comply with these Terms or require excessive customer support. You agree to accept the Company’s final decisions regarding any Rewards Program.

C. Receiving Rewards: You can earn Rewards by participating in Offers as described in the Rewards Program. The Company will credit your account with Rewards once you fulfill all Offer requirements. The Company is not responsible for uncredited Rewards for Offers not properly tracked or validated.

D. Redeeming Rewards: You may redeem Rewards for prizes as per the Rewards Program requirements. Supplies of prizes may be limited, and if a prize is unavailable, the Company may substitute it with a prize of equal or greater value. Once redeemed, Rewards cannot be reversed or refunded.

E. Verifying Identity and Eligibility: The Company reserves the right to verify your identity before crediting or allowing redemption of Rewards. Failure to verify your identity may result in the deactivation of your account or denial of access to Rewards.

​

F. Delivery of Redemption Prizes: Prizes are typically delivered electronically but may also be physical items. If a prize cannot be delivered, the Company may reverse the redemption and restore your Rewards.

​

G. Rewards Have No Monetary Value: You acknowledge that unredeemed Rewards have no cash value and remain the property of the Company, redeemable only for prizes as offered.

H. Inactive Accounts: Accounts inactive for twelve (12) consecutive months may be closed. Minimum activity standards require at least one of the following every 12 months: logging in, redeeming rewards, or posting new activity.

I. Rewards Expiration: The Company may modify Rewards expiration rules, and expired Rewards may be removed without compensation.

​

J. Referral Program Rewards: You may earn bonuses for referring others to the Rewards Programs using a personal referral code. You must have consent to share personal information for referrals.

Promotions

Promotions offered via the Flux DAO, LLC Platforms may be governed by Additional Terms, including eligibility requirements and terms regarding personal information use. It is your responsibility to review these Additional Terms before participating.

Intellectual Property

You acknowledge that the Flux DAO, LLC Platforms and Features are valuable intellectual property of the Company. The trademarks, logos, and service marks displayed are the property of the Company or third parties and cannot be used without permission. Users are prohibited from using, transferring, modifying, or creating derivative works of any content from the Flux DAO, LLC Platforms for commercial purposes. The Company retains all rights to its intellectual property and associated materials.

User Conduct

You agree not to participate in any activities that disrupt or interfere with the operations of Flux DAO, LLC Sites and Features, or our Services, including the servers and networks associated with them. Additionally, you will not use any services to manipulate your computer, mobile device, or other equipment to gain an unfair advantage in any of our Rewards Programs (commonly referred to as “bots”). Unless explicitly authorized in a separate written agreement, you will not reproduce, duplicate, copy, sell, trade, or resell our Services for any purpose.

You further agree that your use of the Flux DAO, LLC Sites and Features and our Services will not be fraudulent, deceptive, or unlawful, as determined solely by us. You must also adhere to all usage rules and guidelines present throughout the Flux DAO, LLC Sites and Features or our Services. Specifically, you agree not to misuse the Flux DAO, LLC Sites and Features or our Services in any improper manner, including but not limited to:

• Accessing (or attempting to access) our Services through any means other than the provided interfaces.

• Sharing a single Account with others.

• Creating or using multiple Accounts (only one Account per person is allowed in each Rewards Program).

• Maintaining or using false identities or multiple identities, or failing to participate in our Services using your true identity and accurate contact, demographic, and other information. This includes using technologies (such as VPNs, proxies, temporary phone numbers, or fake identification) to hide your true identity or location, or to bypass controls meant to prevent illegal access.

• Submitting any personal information (e.g., name, email, zip code) or payment details (e.g., credit card number and expiration date) that we determine to be false, inaccurate, or otherwise invalid in connection with any Offers or use of the Flux DAO, LLC Sites and Features or our Services.

• Posting, uploading, transmitting, or disseminating information that we consider obscene, vulgar, pornographic, sexual, hateful, or otherwise objectionable.

• Promoting spam links, redirect links, or personal referral links to the Flux DAO, LLC Sites and Features or our Services in an excessive or misleading manner, whether through our Sites and Features or any other website or application, including through paid advertisements.

• Engaging in any form of defamation, ridicule, harassment, intimidation, or abusive conduct towards others.

• Uploading or attempting to upload files containing viruses, Trojan horses, worms, or any similar software that could harm our Services or other users’ devices.

• Violating the rights of any party, including intellectual property rights, by using, uploading, or distributing any content that infringes on any Mark, copyright, patent, trade secret, or other rights (including privacy or publicity rights).

• Attempting to obtain private information, passwords, or Account details from other users.

• Misusing support channels or complaint systems to make false reports, claim Rewards not owed to you, or communicate disrespectfully with customer support.

• Creating or sharing altered or misleading evidence to claim Rewards, especially if submitted by multiple members in violation of these Terms.

• Developing or promoting automated software programs (i.e., “bots”), macros, web crawlers, or cheat utilities related to the Flux DAO, LLC Sites and Features or our Services.

• Engaging with our Rewards Programs in a non-organic manner, such as through botnets or click farms, to artificially increase your Rewards.

• Exploiting, distributing, or publicly disclosing any errors or bugs that provide an unintended advantage, or engaging in activities that are illegal or unauthorized, including hacking or distributing counterfeit software.

If we determine that you have violated these Terms, we may issue a warning before terminating or suspending your Account. However, you acknowledge that we may terminate or suspend your Account without prior notice at our discretion. If your Account is terminated or suspended, you agree not to attempt to create another Account in any of our Rewards Programs without our written consent.

Communication Channels

The Flux DAO, LLC Sites and Features and our Services may include communication channels such as forums, groups, comments, and chat areas (“Communication Channels”) for you to interact with other users. While we are not obligated to monitor these channels, we reserve the right to review and remove any materials at our discretion. We may also terminate your access to these channels at any time without notice. You acknowledge that communications on these channels are public and not endorsed or controlled by the Company, and you have no expectation of privacy in these communications. We are not responsible for any information you choose to share or for the actions of other users.

Disclaimer of Warranties, Limitation of Liability, and Indemnification

A. Disclaimer of Warranties: Your use of the Flux DAO, LLC Sites and Features and our Services is at your own risk. To the fullest extent permitted by law, we disclaim all warranties and representations, express or implied, regarding our Services, including but not limited to guarantees of accuracy, completeness, or reliability. We are not liable for any errors, personal injury, property damage, unauthorized access, interruptions, or viruses that may affect your experience.

B. Limitation of Liability: In no event will our liability exceed any fees you have paid for access to our Services. We are not liable for any indirect, incidental, or consequential damages arising from your use of our Services.

C. Indemnification: You agree to indemnify and hold the Company and its affiliates harmless from any claims or damages arising from your use of the Flux DAO, LLC Sites and Features or our Services.

Binding Arbitration and All Disputes and Claims

A. Arbitration Agreement: All disputes between you and the Company will be resolved through arbitration, except for small claims court actions. This agreement applies broadly and includes all claims related to our Services.

B. Informal Resolution: If you wish to pursue arbitration, first send a written Notice of Dispute to our customer service email. Allow us at least thirty (30) days to resolve the issue before proceeding to arbitration.

C. Commencing Arbitration: You may initiate arbitration by sending an Arbitration Demand to our specified email. Arbitration is less formal than court and is governed by the American Arbitration Association’s rules.

D. Arbitration Rules: The arbitration will follow the AAA’s rules, and hearings will be held in your local jurisdiction.

​

E. Individual Arbitration: All arbitration proceedings will take place on an individual basis, and class actions are not permitted.

​

F. Limitations Period: Any claims must be brought within two (2) years of the event that gave rise to the claim.

​

G. Confidentiality: Both parties agree to keep arbitration proceedings confidential.

​

H. Opt-Out: You may opt out of arbitration within thirty (30) days of accepting these Terms by sending us a written notice.

I. Changes to Arbitration Provisions: We may update these arbitration provisions, and you can reject material changes by notifying us.

J. Small Claims Court: You may pursue claims in small claims court if they qualify.

​

K. Excluded Claims: You may bring claims related to intellectual property infringement directly in court.

L. Governing Law: These Terms are governed by the laws of your state, and the Federal Arbitration Act applies.

Tax Matters and Obligations

You are responsible for any tax liabilities arising from your use of our Services and Rewards Programs. We may require you to provide tax reporting information.

Notification of Changes in Terms of Use

We reserve the right to change these Terms and will notify you via email or by posting changes on our Sites and Features. Continued use after changes indicates your acceptance.

Authorized Jurisdictions

Our Services are operated from the United States, and you are responsible for compliance with local laws if accessing from outside the U.S.

Excluded Users and Territories

You may not use our Services if you are in certain restricted countries or on specific U.S. government lists.

Miscellaneous

Failure to enforce any provision of these Terms does not waive our right to enforce it later. If any provision is found invalid, the remaining provisions will remain effective.
